Memorandum of Understanding

The focus of Openshaw Plant Machinery Ltd (OPM) is to give excellent service to facilitate the sourcing, marketing and placement of new and used plant for clients.

The purpose of this Memorandum of Understanding is to establish an understanding between OPM and its clients to enable this focus to be continually improved on. 

Following is what OPM understands to be the responsibilities of the parties.


The Supplier (Vendor):

  • Shall provide details and photos of the plant available for sale (this listing can be done on this website), and allow OPM access to catalogue and photograph that plant if necessary.

  • Will make every endeavour to ensure all information and photos supplied are correct.

  • Shall allow interested purchasers access to inspect plant at a mutually convenient time.

  • On their payment terms, will invoice the Purchaser the agreed selling price which includes the brokerage payable to OPM.

  • On confirmation of the sale of plant by OPM, will facilitate the secure despatch of that plant.

  • Will pay OPM an agreed brokerage fee from within the selling price of the sold plant by 20th month following sale of plant, where payment is received from the buyer.

    Commission rates are as follows:

    USED items or lines of value of < $50,000.00 at a rate of 20% commission of the sale price 

    USED items or lines of value of > $50,000.00 at a commission rate agreed upon by the vendor & OPM

    NEW items or dealers commission rates to be agreed upon by the vendor & OPM

  • Will advise OPM if plant they have listed for sale is to be removed from the listing for any reason.

  • Will respect the role and function of OPM, and the spirit of this Memorandum of Understanding.

The Purchaser:

  • Shall have access to inspect plant they are interested in.

  • Will meet the payment terms of the Parties.

  • Shall accept that the plant is sold on an "as is where is" basis unless otherwise specified.

  • Is responsible for the repair of any damage incurred to plant while in the Purchaser's care during any trial period arranged.

  • Is responsible for the costs and organisation of freight, insurance, and packing.

  • Will respect the role and function of OPM, and the spirit of this Memorandum of Understanding.

    Openshaw Plant Machinery Ltd:

    • Will negotiate with the Vendor and Purchaser to achieve a mutually acceptable price.

    • Will use the most effective means it considers to source, market and place used plant and equipment.

    • Will keep clients fully informed on plant enquiries.

    • Will respect the desire of Suppliers who wish to restrict the sale of their plant.

    • Will arrange with the Parties the most appropriate method of invoicing and payment.

    • Will invoice the Supplier (vendor) a brokerage fee for the completed sale at the agreed commission rate, where the Supplier receives payment from the purchaser.

    • Where required, will assist with arranging packaging and freight for the Purchaser.

    • Will respect the role and function of its clients, and the spirit of this Memorandum of Understanding.

    • Will make every endeavour to ensure all information and photos supplied are correct but cannot be held responsible for changes to the plant items which occur after cataloguing.

    • Acts only as a broker and does not accept any liability for condition or performance of plant or matters relating to title and non performance by either party or otherwise.
